These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "Client") and Vox Via ("Company," "we," "us," or "our"), a Wyoming limited liability company with its principal place of business at 2333 Brickell Ave D1-159, Miami, FL 33129. These Terms govern your access to and use of the website located at www.vox-via.net (the "Site") and any services provided by Vox Via (the "Services").
By accessing the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or engage our Services.
1. Company Information
Vox Via is organized under the laws of the State of Wyoming. The Company engages in scientific and technical research, including the development, testing, and optimization of proprietary software, custom artificial intelligence models, and quantitative data algorithms for business operations. Our principal office is located in Miami-Dade County, Florida.
2. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use this Site or engage our Services. By using the Site, you represent and warrant that you meet these requirements. If you are accessing the Site or Services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
3. Services
Vox Via provides the following categories of professional services:
- Custom Artificial Intelligence Model Development
- Proprietary Software Research and Development
- Quantitative Data Algorithm Development
- Scientific and Technical Research and Testing
The specific scope, deliverables, timeline, and fees for any engagement shall be set forth in a separate Statement of Work ("SOW"), Master Services Agreement ("MSA"), or other written agreement executed by both parties. These Terms supplement, but do not replace, any executed project agreement. In the event of a conflict between these Terms and a signed project agreement, the signed project agreement shall control.
4. Intellectual Property Rights
4.1 Site Content
All content on this Site, including but not limited to text, graphics, logos, icons, images, code, and design elements, is the property of Vox Via or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Site content without our prior written consent.
4.2 Work Product
Ownership of work product created during a client engagement (including but not limited to custom software, AI models, algorithms, documentation, and research outputs) shall be governed by the applicable SOW or MSA. Unless otherwise specified in writing, all work product created by Vox Via for a client engagement is "work made for hire" or otherwise assigned to the Client upon full payment of all applicable fees, subject to the terms of the executed project agreement.
4.3 Pre-Existing Materials
Vox Via retains ownership of all pre-existing tools, libraries, frameworks, methodologies, and know-how developed independently of any client engagement. Where such pre-existing materials are incorporated into deliverables, Vox Via grants Client a non-exclusive, perpetual, royalty-free license to use such materials solely as part of the delivered work product.
4.4 Trademarks
The Vox Via name, logo, and all related marks are trademarks of Vox Via. You may not use these marks without prior written permission.
5. User Conduct
When using this Site, you agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation
- Attempt to gain unauthorized access to any portion of the Site, its servers, or any connected systems
- Interfere with or disrupt the Site or servers or networks connected to the Site
- Use any automated means (including bots, scrapers, or crawlers) to access the Site except as expressly permitted by our robots.txt file
- Transmit any viruses, malware, or other malicious code
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
- Collect or store personal data about other users without their consent
6. Contact Form and Communications
When you submit information through our contact form or other communication channels, you consent to receiving responses from Vox Via related to your inquiry. You represent that any information you provide is accurate and complete. We will handle information submitted through the contact form in accordance with our Privacy Policy.
7. Confidentiality
Any non-public information shared between the parties during the course of an engagement, including but not limited to business plans, data, technical specifications, and financial information, shall be treated as confidential. Both parties agree to use reasonable measures to protect confidential information and not to disclose it to third parties without written consent, except as required by law. Specific confidentiality obligations may be further defined in an executed NDA or project agreement.
8. Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VOX VIA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Warranties related to specific service engagements, if any, shall be set forth in the applicable SOW or MSA.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOX VIA, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF VOX VIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
VOX VIA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO VOX VIA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
10. Indemnification
You agree to indemnify, defend, and hold harmless Vox Via and its members, managers, officers, employees, agents, and contractors from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; or (d) any claim that your content or data caused damage to a third party.
11. Third-Party Links
The Site may contain links to third-party websites or services that are not owned or controlled by Vox Via. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You access third-party links at your own risk.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Laramie County, Wyoming, or Miami-Dade County, Florida, and you consent to the personal jurisdiction of such courts.
13. Dispute Resolution
Prior to initiating any legal proceeding, the parties agree to attempt to resolve any dispute arising out of or relating to these Terms through good-faith negotiation for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, either party may pursue mediation or binding arbitration under the rules of the American Arbitration Association, with the arbitration to be conducted in Miami, Florida, or as otherwise agreed by the parties.
14. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
15. Waiver
The failure of Vox Via to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Vox Via.
16. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and any executed project agreements, constitute the entire agreement between you and Vox Via regarding the subject matter hereof and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
17. Modifications
Vox Via reserves the right to modify these Terms at any time. Material changes will be posted on this page with an updated effective date. Your continued use of the Site after any such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
18. Force Majeure
Vox Via shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet or telecommunications failures, or labor disputes.
19. Assignment
You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Vox Via. Vox Via may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets.
